Start with the right entity choice

An LLC is a distinct legal entity, not simply a business-name registration. The Texas SOS explains that Form 205 is the certificate of formation for a general LLC. A professional LLC uses a different form. Choosing an entity and tax treatment involves individual facts; consult an attorney or CPA if you are unsure.

Check the name without assuming approval

The name must include the appropriate designation and be distinguishable in the state records. The SOS warns that preliminary name clearance is not a final determination and does not authorize violating someone else's name rights. Do not make irreversible expenditures based solely on a search result.

Select a consenting registered agent

The LLC cannot name itself as its own agent. Designate an eligible individual or organization and obtain written or electronic consent. The office must be a Texas street address where the agent can be served during normal business hours, not solely a mailbox.

Our service can supply registered-agent documents for an eligible customer, but purchasing a plan does not file the certificate of formation. Confirm the legal agent name and address permission before submission.

Prepare Form 205 information

The state instructions cover the entity name, agent and office, governing authority, purpose, organizer and effective date. Specify whether the company is initially managed by managers or members and enter the required governing-person information.

The initial mailing address is distinct from the registered office. The SOS says this is where the Comptroller sends tax information and correspondence; it can be a P.O. box or street address. An agent-office appointment does not automatically authorize general mailing-address use.

File through the official portal

Use SOSPortal, select the appropriate domestic entity formation, preview the information and pay the $300 base state filing fee. Optional expedited processing and payment convenience fees may add to it. A saved draft is not an accepted formation.

Save the accepted certificate and receipt. Organize company records, obtain an EIN directly through the IRS when needed, and address operating agreements, licenses and banking with appropriate professional help. Avoid paid solicitations that falsely imply affiliation with an agency.

Plan for ongoing duties

Review franchise tax and PIR/OIR requirements. Keep the agent appointment current and maintain reliable contact information. Under the current FinCEN guidance, U.S.-created companies are exempt from BOI reporting; use our BOI guide to distinguish them from companies created outside the United States.
